Welcome to the Truly Free Sherpa Fulfillment, provided by the Truly Free Market! We are excited to invite you to this special promotional fulfillment opportunity.

Please review our Truly Free Sherpa Fulfillment Supplemental Terms of Service below, which will apply to your use of our Truly Free Sherpa Fulfillment service (the "Service"). These Supplemental Terms of Service are "Supplemental Terms" under and subject to your other terms of service with us (collectively, these "Terms"). By participating in the Service, you are agreeing to these Terms on behalf of yourself or the business you represent, all affiliates of you or that business, and anyone who uses the Marketplace or any Service under your account ("you" or "your"). You may also be required to execute a separate acceptance of these Terms, but that is not required as a condition to their effectiveness. Capitalized terms that are not separately defined in these Supplemental Terms of Service have the meaning give in your other terms of service with us.

TRULY FREE SHERPA FULFILLMENT SUPPLEMENTAL TERMS OF SERVICE

Truly Free Market, Inc., a Delaware corporation ("TFM" "we" "our" or "us"), is providing Truly Free Sherpa Fulfillment as a limited fulfillment service, for free to our first 100 Sellers. We may expand this Service to others or otherwise modify or eliminate it, in our sole discretion. You are eligible for this Service only if we have notified you of your eligibility.

The Service involves the following:

  1. Together you and we will review your affiliate marketing strategy and goals and determine the number and nature of our Partners (influencers and other affiliates registered with us) to support your initial affiliate and growth strategy on our Marketplace. Based on your input, we will determine the number and selection of Partners to approach on your behalf through this Service.
  2. We will engage with the initially selected Partners and determine their willingness to receive, evaluate, and consider promoting your products. We will then coordinate with you to determine the final list of Partners selected for purposes of this Service and the products that they will receive for evaluation.
  3. You will ship to us, at your expense, the types and numbers of your products for purposes of this Services. This may include excess inventory in addition to the initially selected fulfillment quantities that we will hold for future shipments to additionally selected Partners.
  4. We will ship products that we receive from you on your behalf to selected Partners for purposes of their evaluation. In exchange for this fulfillment Service, you will be responsible and pay us our actual shipping costs plus a 10% mark-up. This payment will be made in accordance with your Seller Terms of Service.
  5. We will ask each Partner to evaluate your product and consider promoting your products as a Partner. The Partner will be entitled to retain or dispose of your product how they see fit. We may retain any excess inventory that is not shipped to a Partner or dispose of it in our discretion. Neither we nor any Partner will pay or otherwise reimburse you for the product or shipping charges, regardless of how it is disposed of, and we may retain your product.
  6. Your promotion from Partners who receive your products through this Service will be subject to the ordinary terms and processes of the Marketplace and our other services. You agree not to circumvent us to work directly with Partners off the Marketplace.

Disclaimers and Limitation of Liability

We will not be liable for any delay or failure to perform any of our obligations under these Terms by reasons, events, or other matters beyond our reasonable control. We are not responsible for lost product or for returning any product to you.

We make no promises or warranties that you will obtain Partner promotions or increase your sales or commissions or recognize other success as a result of the Service. RESULTS WILL VARY. ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED.

WE WILL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY LOSS OF PROFIT, REVENUE, BUSINESS, OR PUNITIVE, CONSEQUENTIAL, INCIDENTAL, OR TREBLE DAMAGES. OUR AGGREGATE LIABILITY IN CONNECTION WITH THESE TERMS IS LIMITED TO YOUR OUT-OF-POCKET COSTS FOR THE PRODUCTS THAT YOU SHIP TO US AND YOUR SHIPPING CHARGES.

BY USING THE SERVICE, YOU AGREE TO THE FOREGOING.
